Position Summary

The general counsel is a member of the Executive Leadership Team reporting to the President and is responsible for leading corporate strategic and tactical legal initiatives. The general counsel provides senior leadership with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions and negotiating critical contracts and will lead corporate compliance including planning and directing programs, policies and practices to ensure compliance with regulatory requirements.

 

This key individual should have a wide breadth of knowledge and understanding of applicable laws and regulations and must be business-minded, able to calibrate risk to support innovation while appropriately protecting the company and make sound legal decisions based on data. Our top candidate will be someone who has previously demonstrated expertise in a legal leadership role and is a strong communicator across the organization.

 

Responsibilities

  • Advises the senior leadership team and lines of business on a variety of matters such as governance, legal compliance, third-party partnerships, commercial contract negotiations, government procurement, privacy matters, payments regulations, and general legal guidance on matters relevant to the company operations
  • Leads all legal aspects of commercial contracts and technology transactions with third party partners, customers, suppliers and vendors; privacy and data security matters; labor and employment and litigation matters; legal operations; intellectual property; mergers and acquisitions; joint ventures and other strategic partnerships and investments
  • Provides legal advice in connection with new product development and market expansion, both domestically and internationally
  • Oversees the company’s IP portfolio and provide guidance on privacy, trade secret, copyright and patent matters
  • Oversees the selection, retention, management and evaluation of all outside legal counsel and provides in-house guidance/counsel
  • Maintains knowledge of the company’s operations and legal documents
  • Ensures that the legal function is a respected business partner by planning, budgeting and delivering legal information and services that support corporate goals in a timely and fiscally responsible manner
  • Assumes ultimate responsibility for ensuring that the Company conducts its business in compliance with all applicable laws and regulations
  • Establishes and enforces corporate policies, procedures, and programs aimed at the legal protection of the Company

 

Professional Qualifications and Experience

  • Strong academic credentials and J.D. from a nationally recognized and accredited law school
  • License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Texas
  • 10-15 years of broad-based general corporate experience in either private law firm practice and/or in-house corporate legal environment
  • Excellent written, verbal, interpersonal and communication skills to include drafting and negotiation skills
  • Experience in building, managing and mentoring a small legal team
  • Experience with corporate governance issues
  • Excellent business judgment and critical thinking and ability to balance business needs with legal risk
  • Experience and comfort working with senior management in connection with a broad range of corporate legal matters
  • Flexibility and willingness to quickly develop comfort with and offer advice on new or unfamiliar legal issues
  • Possess a high degree of business savvy, integrity, candor, intellectual curiosity, and self-motivation
  • Ability to provide sound guidance while juggling multiple (and sometimes conflicting) priorities between departments and business units
  • Detail oriented, a critical thinker with the ability to work at both comprehensive and strategic levels
  • Self-starter who thinks creatively and proactively helps to make well-informed decisions and exercises balanced judgment
  • A team player with a high level of self and cross-cultural awareness. Demonstrated track record of building strong and enduring relationships and teams
  • Possesses unquestionable integrity, ethics, and judgment. The courage and ability to take a strong position in a culturally calibrated way as required for the good of the company
  • Some travel required – approximately 10%
