Based in Fitzwilliam Square, Dublin 2, with flexibility to work from our head office in Stonemasons Way, Rathfarnham, Dublin 16, the Office of the Company Secretary is a team of 9, including 5 company secretaries.


Due the recent change in primary listing to the NYSE, we are looking to recruit an additional Assistant Company Secretary or Senior Legal Counsel – Office of the Company Secretary reporting to the Group Company Secretary.


The team has a wide range of responsibilities, including: supporting the Board and Committees of CRH plc; liaising with a range of stakeholders such as major shareholders and regulators as required; working with internal and external legal teams in relation to fulfilling CRH’s responsibilities under Irish law, US securities law and UK Disclosure and Transparency rules; overseeing shareholder services provided by CRH’s registrars such as dividend payments, shareholder voting and corporate actions; administration of all aspects of CRH’s share incentive plans; working closely with and providing advice to other corporate functions such as Legal, Finance, Human Resources, Internal Audit, Tax, Treasury etc.


Key Tasks and Responsibilities

In this role, you will:

  • Work with internal and external counsel in relation to relevant Irish legal and US securities matters
  • Work alongside the existing Assistant Company Secretary to manage all aspects of the department’s corporate governance and regulatory roles and responsibilities, including:

o the fulfilment of stock exchange requirements

                o drafting governance disclosures for 10-K and AGM proxy statements in areas that fall within the remit of the department

o engagement with Irish, European, UK or US regulators, as required

o the implementation and periodic review of CRHs corporate governance guidelines

o designing and reviewing inside information procedures and training;

                o preparation for additional compliance requirements that will apply to CRH as a domestic US issuer (such as Regulation FD, and Section 16 filings) from January 2025

o corporate actions as required

  • Support and advise other departments, including Finance, HR, IR, Legal, Sustainability and Tax on workstreams
  • and projects that require governance or company secretarial input;
  • Support the managers responsible for Irish subsidiary company secretarial compliance matters and share scheme support in areas such as group re-structuring, entity rationalisation programmes, the management of inside information processes, tender processes, contract negotiations, drafting of terms & conditions etc.
  • Work with all team members, as required, in relation to dividend payments, the management of general meetings and incentive share scheme events
  • Provide advice and support to the Company Secretarial team in relation to preparation for pending legal and
  • regulatory changes
  • Together with other team members, support the Board in all aspects of its operation, attending meetings and
  • drafting minutes as required to support the Group Company Secretary
  • Act as Secretary to the Board’s Safety, Environmental and Social Responsibility Committee which meets 4 times per annum

Experience / Education

You are/have:

  • Qualified Company Secretary or Lawyer
  • Extensive experience with a listed company environment, whether directly or by providing advisory services.
