Based in Fitzwilliam Square, Dublin 2, with flexibility to work from our head office in Stonemasons Way, Rathfarnham, Dublin 16, the Office of the Company Secretary is a team of 9, including 5 company secretaries.
The team has a wide range of responsibilities, including, supporting the Board and Committees of CRH plc; managing engagement with shareholders on corporate governance matters; overseeing shareholder services provided by CRH’s registrars; ensuring CRH complies with various regulatory requirements such as the NYSE and LSE listing rules, SEC requirements, UK Market Abuse etc.; working closely with and providing advice and support to other corporate functions such as Legal, Finance, Human Resources, Internal Audit, Tax and Treasury.
Key Tasks and Responsibilities
In this role, you will:
- Act as primary contact for company secretarial support provided to corporate functions and Irish subsidiaries, including acting as Secretary for CRH’s cement trading company; Irish Cement Limited and Roadstone Limited, and the Group’s
- Financial Reporting and Disclosure Group which oversees CRH’s compliance with various regulatory requirements, including SEC and Sarbanes Oxley requirements
- Work with the Assistant Company Secretary, external advisers and the Internal Audit function to support the Corporate
- Trustee of a CRH pension scheme
- Primary contact for the CRH Tax and Legal functions in relation to the management of Irish subsidiaries, including reorganisations and the Group’s entity rationalisation programme
- Work with CRH’s Registrars, Computershare, in relation to all aspects of managing the CRH share register, including quarterly dividend payments of c. $250m per dividend and AGM preparation
- Work with other team members to ensure that CRH meets its listing or other regulatory responsibilities, including RNS announcements, filings with the US SEC, the NYSE, the LSE, the Irish Central Bank and the UK FCA
- Provide support to the Company Secretarial Assistant, who is responsible for day-to-day company secretarial compliance, such as register maintenance, management of Blueprint software for legal entity management, CRO filings, updating beneficial ownership registers, Sarbanes Oxley controls, preparation of subsidiary guarantees, provision of documentation and confirmations to satisfy external KYC requirements
- Support the CRH finance function in relation to governance or other disclosures within the remit of the department which are required for quarterly and / or year-end reporting
- Ad hoc projects and corporate actions that arise from time to time, e.g. corporate actions, working with the support services teams in relation share scheme migrations or other aspects of the management of CRH’s share schemes.

Experience / Education
You are/have:
- Qualified Company Secretary
- Minimum of 3-5 years’ experience, preferably working in or advising a listed
A degree of flexibility will be required, and candidates must be available for occasional early morning starts and/or late evenings.
